Exposition Rules and Regulations

A company or organization ("Exhibitor") planning to participate in Content Market (TBD) “TIMM 10th Tokyo International Music Market, TIFFCOM2013, Tokyo International Anime Festival 2012 Autumn” ("Exposition") shall comply with the terms and conditions set forth in this Exposition Rules and Regulations. The term the "Organizer" specified here in means UNIJAPAN.



Article 1 Exhibition Application and Terms and Conditions for Establishment of Exhibition Agreement

  1. A company or organization wishing to participate in the Content Market (TBD) shall complete the "Exhibition Application form / Agreement" ("Application") prepared by the Organizer and send it by post, fax or e-mail after it is signed with the name and seal, or you may use an online application form which can be obtained on the website (Official website; http//www.tiffcom.jp/2013) to apply online. The applicant shall be a personnel who is given administrative authority over the handling of relevant operations in the company or organization.
  2. The Organizer will review the Exhibition Application / Agreement, and carry out screening. (The screening criteria will not be disclosed.) The Organizer will affix a seal of acceptance on the corresponding Exhibition Application / Agreement, and will send it back to the applicant if the application is acceptable. The Exhibition Agreement shall be made and entered on the date the Organizer filled in the Exhibition Application / Agreement ("Reference Date".)


Article 2 Non-Acceptance of Exhibition Application

The Organizer may choose to not accept the Exhibition Application / Agreement in its sole discretion if it determines the Applicant may be inappropriate for the purpose of holding the Exposition (The Organizer will not disclose the criteria of the screening.)



Article 3 Claim for and Payment of Booth Fee

  1. If the Exhibition Application / Agreement is established based on Article 1 herein, the Exhibitor shall make payments in either of the following methods depending on the time of application. In case of bank transfer, payments shall be made to the bank account designated by the Organizer and the Exhibitor shall cover the money transfer fee. If the payment due date falls on a Saturday, Sunday, or national holiday, the payment due date shall be the preceding business day.
    1. The Exhibitor shall make a payment no later than the day stated in the invoice.
    2. If the Exhibitor fails to pay the booth fee in full no later than the payment due date specified in the preceding Item 1 herein as outlined above, the Organizer may cancel the Exhibition Application / Agreement on the following day of the payment overdue date and may claim the Cancellation Fee to the Exhibitor in accordance with Article 4 herein.


Article 4 Cancellation of Exhibition Agreement and Cancellation Fee

  1. Once the Exhibition Application / Agreement has been concluded, it may not be cancelled or amended to reduce the number of booths allotted to the Exhibitor, in principle.
  2. Notwithstanding the conditions of the preceding paragraph, if the Exhibitor desires to cancel the Exhibition Application / Agreement or to reduce the number of booths due to special circumstances, the Exhibitor shall provide a notice / application for cancellation or booth reduction in writing or through e-mail to the Organizer, stating the reason(s) for the cancellation or booth reduction. If the Organizer approves of the cancellation of the Exhibition Application / Agreement or booth reduction request, the Exhibitor may cancel the Exhibition Application / Agreement or reduce the booth on the condition where the Exhibitor shall pay the cancellation fee or the partial cancellation fee as stated below in accordance with the period calculated from the date of cancellation or booth reduction request notice to the first day of the Exposition ("Cancellation Fee" as a whole), to the Organizer no later than the date specified by the Organizer.
    1. If the Exhibitor cancels part or all of the booths after the Exhibition Application / Agreement is concluded, and if the date of cancellation request notice is the following day of the date three (3) months prior to the first day of the Exposition, or later with or without any payment made, the amount equivalent to a hundred (100) percent of the predetermined booth fee shall be paid as the Cancellation Fee. If the period from the date of cancellation request to the first day of the Exposition is more than three (3) months, the amount equivalent to a twenty (20) percent of the predetermined booth fee shall be paid as the Cancellation Fee.
    2. If the Exhibitor does not occupy its booth by 9:30 on the day of the Exposition, then the Organizer will regard this as a cancellation of exhibition, and the Exhibitor shall pay the amount equivalent to a hundred (100) percent of the allotted booth fee as the Cancellation Fee.
  3. If the Exhibitor already paid all or part of the Booth Fee when the Exhibitor has sent the cancellation request pursuant to the preceding paragraph or at the point the Exhibitor’s cancellation of exhibition is determined, the Cancellation Fee set forth in the preceding paragraph shall be appropriated from the paid Booth Fee and any balance left shall be refunded to the Exhibitor in the way and at the date designated by the Organizer.


Article 5 Exhibition Booth Fee

The Exhibition Booth Fee shall be as specified in the description of the "Exhibitor Information" separately provided for on the official website of the Organizer.



Article 6 Decision of Booth Location

As a general rule, exhibitors who apply less than 6 booths will be considered as determined by drawing at exhibitors briefing (planned at the end of August, 2013). But, to exhibitors who applied six or more booths, the booth location will be decided by the organizers and it will be informed individually.



Article 7 Prohibited Matters

■Sublease, Trade, Transfer, Assignment, Exchange, Licensing of Booth(s)

The Exhibitor shall not sublease, trade, assign, exchange, or license any part or all of the exhibition booth(s) to any party, whether or not the party is one of the Exhibitors or any third party.


■Exhibition for Purposes of Guiding Visitors to a Different Venue

The Exhibitor shall not participate in the Exposition for the purposes of guiding visitors of the Exposition to another Exposition venue where it exhibits its major products or holds a seminar.


■Spot Sales of Exhibits

Spot sale of any exhibits other than publications and software products at the Exposition shall be prohibited.


■Exhibits

The Exhibitor shall ensure that all the items it exhibits (including persons or works) maintain public order and morality.


■ Acts that are nuisances to others

If the Organizer judges that any activities, including the exhibits, events, lectures and other acts conducted by the Exhibitor in relation to the Exposition are or may be deemed nuisance to other Exhibitors or visitors, then the Organizer may ask the Exhibitor to stop or improve the activities whether during or prior to the Exposition. Failure to do so may result in the immediate cessation of such act or the immediate pullout of all exhibits, events, or lectures.


In this case, the Exhibitor is responsible for any cost arising from the measures of "improvement", "immediate cessation", or "immediate pullout." If the Organizer bears the cost for implementing these measures, the Exhibitor shall be obliged to repay the cost in full to the Organizer.


Exhibitors should not inconvenience other Exhibitors or visitors and must avoid engaging in prohibited activities, including but not limited to:

  1. Conducting questionnaires or surveys in the Exposition aisles.
  2. Creating excessive noise from a speaker or its equivalent. Producing light beams, hot fumes, gas, odor, vibration or smoke.
  3. Exhibiting items or acting in a manner that show lack of nobleness as a technology introduction venue in respect of socially-accepted norms.
  4. Exhibiting items or acting in a manner that are contrary to public order and morality.
  5. Collecting "Personal Information" of visitors in the booth as a major purpose of participation in the Exposition without exhibiting its products or conducting sales promotion for its products or services.


Article 8 Handling of Joint Exhibition

If two or more companies or organizations jointly apply for the Exposition, one of the companies or organizations representing among others ("Hereinafter referred to as the "Representing Exhibitor") shall sign up and separately notify the Organizer of the name and the contact information of the joint Exhibitor. Communication from the Organizer and sending of the articles, such as announcements of the Exposition to visitors, shall be made only to the Representing Exhibitor. Please refer to the Exhibitor Manual for details.



Article 9 Installation of Exhibits, Booth Decoration and Removal

The Exposition venue is not a bonded exhibition. When bringing in any exhibits from overseas, the Exhibitor shall take various procedures including custom clearance on the risk of the Exhibitor prior to the Exposition. Music copyright or other copyright for the exhibits shall be processed on the responsibility of the Exhibitor. For the permission of photo shooting, video shooting, recording or documentation of the exhibits, the Exhibitor may decide at its own risk.


  1. Delivery and installation of the exhibits to / in the Exposition venue shall be performed during the period to be notified separately by the Organizer. In this regard, the installation of the exhibits in the booth(s) shall be completed no later than the day prior to the first day of the Exposition, or later with or without any payment made, the amount equivalent to a hundred (100) percent of the predetermined booth fee shall be paid as the Cancellation Fee. If the period from the date of cancellation request to the first day of the Exposition is more than three (3) months, the amount equivalent to a twenty (20) percent of the predetermined booth fee shall be paid as the Cancellation Fee. If the Exhibitor fails to occupy its own booth(s) by 9:30 on the day of the Exposition, the Organizer shall regard it as a cancellation of the Exhibition Agreement. (It is subject to the Cancellation Fee.)
  2. Booth decoration shall be performed in accordance with the rules of the Exhibitor Manual to be sent by the Organizer.
  3. Any decoration that violates the rules of the Exhibitor Manual may be removed.
  4. The Exhibitor shall obtain the Organizer?s approval without fail before delivering the exhibits in and out of the venue or relocating the exhibits during the Exposition. During the Exposition period, no exhibits shall be delivered in and out of the venue, or removed or relocated without approval from the Content Market (TBD) Organizer?s Office. The Exhibitor shall comply with the Terms of Use of the venue, guidelines for disaster prevention, the provisions of the Fire Service Act, etc. For any damage or loss to any standard decoration installed in the standard booth, the Exhibitor is responsible to recover such damage or loss back to the original state. Notwithstanding the above, the Exhibitor holds no responsibility for any damage or loss caused by the force majeure, such as natural disaster or a reason acceptable to the Content Market (TBD) Organizer?s Office.
  5. The removal of the exhibits and decorations from the booth(s) shall be completed during the period to be notified by the Organizer. Any exhibit remaining after the specified date shall be removed by the Organizer at the expense of the Exhibitor. In addition to the above provisions, the installation and clearance of the exhibits shall conform to the rules of the Exhibitor Manual as well.
  6. Under the Fire Prevention Ordinance of Tokyo, following acts are prohibited:
    Smoking and using naked flame in areas other than the specified areas in the venue. Bringing dangerous substances into the venue. Placing objects that could hinder the use of the passage, emergency doors, indoor fire hydrants or fire extinguishers.


Article 10 Handling of Personal Information

  1. The Exhibitor shall abide by the Japanese "Personal Information Protection Law" and applicable laws and regulations in the case of collecting "Personal Information"
    through the exhibitions. In particular, when providing Personal Information to any third party, the Exhibitor shall obtain permission from the identical person without fail. In the event of dispute between the Exhibitor and the identical person of the Personal Information, the corresponding dispute shall be settled through mutual consultation between both the parties hereto, and in no event shall the Organizer be liable for the case.
  2. Content Market (TBD) Organizer's Office makes its best efforts to properly and safety manage the Personal Information provided by the clients, and takes protective measures to prevent any disclosure, loss of or damage to the Personal Information by setting forth the Personal Information Handling Policy as prescribed below. The Personal Information collected will be used for the purposes as stated below in order to assist in mutual business with the industry based on the prior consent of the clients.
    1. To publish on "Who's who" on the official website.
    2. To publish in "Who's who" in the official guidebook.
    3. To feature corporate information and information on the exhibits in various publications to be distributed in the venue.
    4. To feature the individual in the official video or market report.
    5. To prepare ID budges, which include the family name, company name, nationality, and facial photo to identify individual.
    6. To provide various services by phone, mail or e-mail, and to deliver news periodically.
    7. To make research, analyze or plan products or services to be provided to clients through market research, data analysis or questionnaires.
    8. To announce new events, symposiums or seminars to be taken place.
    9. To verify the individual, to confirm a certain information or registered information for managing the Exposition, or to contact the individual to deliver information. However, for disclosure of information on the website, only individuals who have been assigned an ID and password will be disclosed.

In no circumstances unless required by the government authorities lawfully and the purposes mentioned above, no personal information is disclosed to any third party without any consent from the individual. When a part of or the whole operation is outsourced, Content Market (TBD) Organizer?s Office shall establish a proper management structure to protect the Personal Information, and enter an Non-‐??disclosure Agreement with the supplier to ensure that the Personal Information of the clients is strictly managed. For any inquiry pertaining to the handling of the Personal Information, please contact us at the contact number stated in this Rule and Regulations. For various data gathered through the Exhibition Application, the Organizer property protects and manages them in accordance with the "Content Market (TBD) Privacy Policy".



Article 11 Compensation for Damage

  1. The Organizer, for any case, assumes no responsibility whatsoever for any injury or damage to persons, goods, and facilities that are attributed to the use or occupancy of booth(s) by the Exhibitor and its employee(s) or agent(s). The Exhibitor shall guarantee the safe use of booth(s) to the Organizer at its own risk and shall accept liability for all damages should there be any accident.
  2. While the Organizer pays attention to the safety and security of the Exhibition at all times during the Exposition period, it assumes no responsibility for any theft, loss of the exhibits or a fire or disaster in the booth of the Exhibitor caused by human negligence. Therefore, the Exhibitor shall take all possible measures for the prevention of a theft, loss of exhibit(s) and building material(s) and of accidental fire at its own risk by covering them with damage insurance, for example, where necessary, during the period between the day the Exhibits are delivered into the venue and removed from the venue.
  3. The Organizer shall refund the Booth Fee on a pro-rate basis according to the remaining number of days of the Exposition in compensation to unavailability of booth use only if the Organizer cancels the Expositions due to any self-responsible reason, which shall cover any and all compensations. In addition, the Organizer shall accept no responsibility for any damage caused to the Exhibitor as a result of unanticipated situation(s) such as the occurrence of damage by a direct or indirect natural disaster, or as a result of an order or instruction by national or local governments or by acts of God.


Article 12 Postponement and Cancellation of Exposition

  1. the Organizer may postpone or cancel the Exposition when it judges that holding of the Exposition is difficult or impossible due to acts of God or other unavoidable occurrence.
  2. The Organizer shall not refund the Booth Fee to the Exhibitor even if the Exposition is postponed or cancelled in accordance with the preceding paragraph.


Article 13 Termination / Cancellation

  1. If the Exhibitor meets any of the following conditions, the Organizer may immediately terminate its Exhibition Agreement without giving any notice or demand or without any indemnification to the Exhibitor.
    1. An application to the court against the Exhibitor for seizure, provisional seizure, provisional disposition, public auction or disposition to delinquency of taxes and public charges for the right property or property ownership. The cases of seizure or provisional seizure as a third party obligator are excluded, however.
    2. Suspension of payment or insolvency.
    3. An order of cancellation or suspension of business license by a supervisory agency.
    4. If the Organizer determines that the Exhibitor or any planned exhibit is inappropriate to the purpose of holding the Exposition, or if the Organizer decides that the Exhibitor’s presentation is socially unsound because a civil, a criminal, or an administrative issue that can affect the public confidence of other Exhibitors is concerned, or an illegal or unjustifiable conduct, or criminal offense, or other act is conducted or is likely.
    5. In addition to each of the preceding numbered items, if the Exhibitor infringes all or part of the Rules and Regulations herein or the Exhibitor Manual, and the corresponding defect is not cured within the period specified by the Organizer despite any notice or demand from the Organizer.
  2. If the Organizer cancels the Exhibition Agreement based on an Article(s) herein, the Organizer shall not be prevented from charging and demanding the Cancellation Fee set forth in Article 4 herein and other damage compensation to the Exhibitor.


Article 14 Governing Law and Agreement Jurisdiction

The Exposition Rules and Regulations and the Exhibition Application / Agreement herein shall be governed by and construed under the laws of Japan, and the district court that exercises jurisdiction over the seat of the Organizer’s headquarters shall be the court of jurisdiction of first instance for any lawsuit arising based thereon.



Article 15 Operation of the Exposition and Indemnity

In order to smoothly perform operations, Content Market (TBD) Organizer?s Office may establish and amend various rules and regulations. For matters that are not prescribed herein, Content Market (TBD) Organizer?s Office also may establish or add new rules and regulations or amend the existing rules and regulations. Due to natural disaster or any unexpected situation, Content Market (TBD) Organizer?s Office may cancel the Exposition. In this case, any of the already-‐??paid Booth Fees, any costs incurred for the preparation for the exhibition or damages resulting from the cancellation will not be compensated. Content Market (TBD) Organizer?s Office may change the date and the opening hours of the Exposition due to an unavoidable reason. However, the Exhibitor cannot cancel the Exhibition Application based on this change. Content Market (TBD) will not compensate any damage caused by this change.



Agreement of Exposition Rules and Regulation and Exhibition Rules

All the Exhibitors shall agree and comply with this Exposition Rules and Regulation as well as the rules and regulations set forth and notified by Content Market (TBD) Organizer?s Office to the Exhibitors.



This Exposition Rules and Regulation was prepared as in August 2013, therefore, it is likely that there may be any change of amendment. Please check the Content Market (TBD) official website for the latest version, when you apply for exhibit space.
